These Terms of Service ("Terms") govern your use of the website haide.digital and any services provided by "Beyond Marketing" Ltd, a company registered in Bulgaria, trading as Haide Digital ("we," "us," "our").
By accessing this website or engaging our services, you agree to these Terms. If you do not agree, please do not use the website or engage our services.

2. Services
Haide Digital provides organic growth engineering services, including:
- SEO strategy, technical SEO, and semantic SEO
- Generative Engine Optimization (GEO / AI search visibility)
- AI content automation system design and deployment
- Organic growth system architecture and implementation
- Content strategy and production
- Ongoing advisory and support
The specific scope, deliverables, timeline, and pricing for each engagement are defined in a separate proposal or service agreement ("Service Agreement") signed by both parties before work begins. These Terms apply alongside any Service Agreement. In case of conflict, the Service Agreement takes precedence.
3. Engagement Process
3.1 Discovery
We offer a free Discovery phase, which includes a technical assessment, competitive analysis, and strategy call. Discovery does not create an obligation to proceed.
3.2 Proposals and agreements
Following Discovery, we provide a written proposal outlining scope, deliverables, timeline, and pricing. Work begins only after both parties sign the Service Agreement.
3.3 Changes in scope
If the scope of work changes during an engagement, we will provide a written change order detailing the revised scope, timeline impact, and any additional cost. Changes require written approval from both parties before implementation.
4. Deliverable Ownership
4.1 Client ownership of deliverables
Upon full payment, all deliverables produced during an engagement become the client's property. This includes:
- Strategy documents, growth blueprints, and audit reports
- Content (written copy, structured data, schema markup)
- Technical implementations deployed to the client's infrastructure
- AI automation systems (workflows, prompts, configurations)
- SOPs, documentation, and training materials
- Dashboards and reporting templates
4.2 Haide Digital retains
We retain the right to:
- Reference the engagement in our portfolio and case studies (with client approval, and without disclosing confidential data)
- Reuse general methodologies, frameworks, and non-client-specific knowledge developed during the engagement
- Use anonymized, aggregated performance data for benchmarking purposes
4.3 Third-party tools and licenses
Some deliverables may depend on third-party tools (e.g., n8n, Google Analytics, Ahrefs, AI API providers). Access to these tools is subject to their respective terms and licensing. We do not transfer ownership of third-party software. Ongoing tool subscriptions and API costs are the client's responsibility after handoff, as outlined in the Service Agreement.
5. Payment Terms
5.1 Pricing
All pricing is specified in the Service Agreement. Unless stated otherwise, prices are quoted in EUR and exclude VAT. VAT will be applied in accordance with Bulgarian and EU VAT regulations.
5.2 Invoicing
Invoices are issued according to the schedule defined in the Service Agreement (typically monthly). Payment is due within 14 days of invoice date unless otherwise agreed.
5.3 Late payment
If payment is overdue by more than 14 days, we reserve the right to:
- Pause all active work until payment is received
- Charge statutory interest on the outstanding amount (as per the Bulgarian Commercial Act)
- Terminate the engagement after 30 days of non-payment, subject to written notice
5.4 Refunds
Discovery is free and non-billable. For paid engagements, refunds are handled on a case-by-case basis. Work already completed and delivered is non-refundable. Unused prepaid amounts for unstarted work will be refunded within 30 days of written request.
6. Confidentiality
6.1 Mutual obligation
Both parties agree to keep confidential any non-public information shared during the engagement, including business strategies, technical data, pricing, client lists, and proprietary methodologies.
6.2 Exclusions
Confidentiality obligations do not apply to information that:
- Is or becomes publicly available through no fault of the receiving party
- Was already known to the receiving party before disclosure
- Is independently developed without reference to confidential information
- Is required to be disclosed by law or court order (with prompt notice to the other party)
6.3 Duration
Confidentiality obligations survive termination of the engagement for a period of 2 years.
7. Website Use
7.1 Permitted use
You may use this website for its intended purpose: learning about our services, contacting us, and accessing published content. You may not:
- Scrape, crawl, or automatically extract content from this website for commercial purposes without written permission
- Attempt to gain unauthorized access to any part of the website or its infrastructure
- Use the website to distribute malware, spam, or other harmful content
- Reproduce, redistribute, or commercially exploit website content without attribution and written permission
7.2 AI crawler access
We provide an llms.txt file and manage AI crawler access through robots.txt. Authorized AI crawlers (as specified in our robots.txt) may access publicly available content. All other automated access requires written permission.
7.3 Intellectual property
All content on this website — including text, design, code, logos, and visual elements — is the intellectual property of "Beyond Marketing" Ltd unless otherwise noted. The Haide Digital name and logo are trademarks of "Beyond Marketing" Ltd.
8. Limitation of Liability
8.1 Service outcomes
Organic growth engineering, SEO, and AI automation services depend on factors outside our control, including search engine algorithm changes, market conditions, competitor activity, client implementation, and third-party platform changes. We do not guarantee specific rankings, traffic volumes, or revenue outcomes.
We commit to delivering the agreed scope of work to a professional standard, using current best practices and our engineering methodology.
8.2 Liability cap
To the maximum extent permitted by applicable law, our total liability for any claim arising from or related to our services is limited to the total fees paid by the client under the applicable Service Agreement in the 12 months preceding the claim.
8.3 Exclusions
We are not liable for:
- Indirect, incidental, or consequential damages (including lost profits, lost data, or business interruption)
- Damages resulting from the client's failure to implement recommendations
- Damages caused by third-party tools, platforms, or services
- Website downtime or data loss caused by hosting providers or force majeure events
8.4 Nothing in these Terms excludes liability for:
- Fraud or fraudulent misrepresentation
- Death or personal injury caused by negligence
- Any liability that cannot be excluded under applicable law
9. Termination
9.1 Termination by either party
Either party may terminate a service engagement with 30 days' written notice. Upon termination:
- We will deliver all completed work and work-in-progress to the client
- The client will pay for all work completed up to the termination date
- Any prepaid amounts for unstarted work will be refunded within 30 days
9.2 Termination for cause
Either party may terminate immediately if the other party:
- Materially breaches these Terms or the Service Agreement and fails to cure the breach within 14 days of written notice
- Becomes insolvent or enters bankruptcy proceedings
9.3 Survival
Sections 4 (Deliverable Ownership), 6 (Confidentiality), 8 (Limitation of Liability), and 10 (Governing Law) survive termination.
10. Governing Law and Disputes
10.1 Governing law
These Terms are governed by the laws of the Republic of Bulgaria.
10.2 Dispute resolution
In the event of a dispute, both parties agree to attempt resolution through good-faith negotiation. If negotiation fails within 30 days, either party may submit the dispute to the competent courts in Sofia, Bulgaria.
10.3 EU consumers
If you are a consumer based in the EU, nothing in these Terms affects your statutory rights under the EU Consumer Rights Directive. You may also use the EU Online Dispute Resolution platform at ec.europa.eu/odr.
11. Force Majeure
Neither party is liable for delays or failure to perform caused by events beyond reasonable control, including natural disasters, war, government actions, pandemics, internet outages, or third-party service failures. The affected party must notify the other party promptly and make reasonable efforts to mitigate the impact.
12. Changes to These Terms
We may update these Terms from time to time. Changes will be posted on this page with an updated "Last updated" date. For active service engagements, material changes will be communicated via email at least 30 days before taking effect.
13. Severability
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions continue in full force and effect. The invalid provision will be modified to the minimum extent necessary to make it valid and enforceable.
